RESTRUCTURING & REORGANIZATION
Over the life of an enterprise, there are all sorts of situations in which the legal form it takes, its structural organization or its relations to other companies must be reconsidered and where, for example, a change of legal form, spinning off a business area or the transfer of company shares is indicated. Such occasions may be due to taxes or derive from business operations, such as limiting liability risk through a contribution towards a separate company. In many cases, we provide support to our clients on such reorganization measures, including in connection with a corporate succession scheduled for the medium term, where one key component involves the optimal transfer of the company to the succeeding generation.
We also often do work for our clients in situations of financial crisis and jointly undertake necessary restructuring measures, whether this be the spin-off and sale of business areas, the structuring of a refinancing or even providing support on a structured insolvency. In this area, we also prepare opinions regarding questions posed under insolvency law.
In connection with our responsibilities in the Restructuring and Reorganization area, with our interdisciplinary approach we offer our clients advice in all of the relevant component disciplines: Corporate Law, Tax Law and Accounting Law.
